Transactions With Public Entities

In addition, our attorneys are skilled and well-versed in handling sophisticated transactions for public agencies. For example, we have represented the Los Angeles County Metropolitan Transportation Authority, Los Angeles Unified School District, and numerous other cities, school districts and redevelopment agencies in the Southern California area.

We have represented the Los Angeles World Airports in connection with retail concession and commercial management agreements including the recent modernization of the Tom Bradley International Terminal. Our public entity experience is especially valuable when assisting private party clients in transactions with public entities – we have negotiated and finalized intricate contracts between public entities and private parties, including representation of the California Yacht Marina in connection with the privatization of the landmark Cabrillo Marina in the Port of Los Angeles.

Complex Lease Transactions

In addition, we regularly structure and negotiate lease-equity deals and other creative approaches to lease transactions. We counsel both landlords and tenants in the negotiation and documentation of commercial, industrial, retail and other business leases. Our leasing practice ranges from short-term small space leases to long-term major lease transactions, as well as complex ground leases, tenant improvement agreements and sale-leaseback transactions. We often address issues such as tenant and landlord bankruptcies, terminations, workouts, enforcement actions, payment disputes, tenant improvement work letters, assignments, and subleases, as well as ground leases.
